These Terms govern every transaction brokered by Stratos Dynamics. They are written in plain English because that is how we do business. If you have a question before signing a purchase order, call us — don't guess.
All products are sold Free On Board (FOB) at the origin point — the grain elevator, crush plant, or storage facility identified in the purchase order. Title and risk of loss transfer to the Buyer at the moment product is loaded onto the Buyer's carrier. From that point forward, the product belongs to the Buyer.
Stratos Dynamics has no liability for the product after it leaves the scale house. We are not a freight company. We are not a warehouse. We are a commodity broker.
The Buyer is solely responsible for arranging, scheduling, and paying for transport from the FOB origin point to their facility. This includes selecting the carrier, obtaining cargo insurance, and coordinating pickup appointments with the elevator or crush plant. Stratos Dynamics does not book freight on behalf of Buyers.
Payment is due upon receipt of the certified scale weight ticket issued at the origin point. The weight ticket is the final, binding measurement of product quantity. Payment is made by bank wire transfer. Net terms may be extended only to pre-approved accounts in writing before shipment begins.
No payment terms are assumed or implied. If a payment arrangement has not been confirmed in writing before loading, payment is due immediately upon weight ticket issuance.
Products are sold to the grade specifications confirmed in the purchase order. A Certificate of Analysis (COA) from a certified lab accompanies every shipment. Grade disputes must be raised within 48 hours of loading, using an independent USDA-licensed grain inspector. Disputes raised after 48 hours will not be considered.
These Terms are governed by the laws of the State of Georgia. Both parties agree to attempt resolution in good faith before pursuing formal proceedings. Jurisdiction and venue for any legal action is Fulton County, Georgia.
Stratos Dynamics is a commodity broker. Our maximum liability in any dispute is limited to the brokerage commission earned on the specific transaction at issue. We are not liable for product defects, transport delays, or market price movements after a purchase order is confirmed.
