Terms of Trade

These Terms govern all commodity transactions brokered by Stratos Dynamics LLC. By engaging Stratos Dynamics for a purchase or sale, all parties acknowledge and agree to these Terms in full.

Section 01
FOB Origin — All Sales

All commodity sales facilitated by Stratos Dynamics LLC are conducted on Free On Board (FOB) Origin terms. "FOB Origin" means the Seller makes the product available at the designated origin point — the grain elevator, crush plant, or storage facility identified in the confirmed Purchase Order.

Risk of loss and title transfer to the Buyer at the moment the commodity is loaded onto the Buyer's designated carrier at the origin facility. From that point forward, the product is the Buyer's sole responsibility.

Stratos Dynamics LLC has no liability for loss, damage, spoilage, or delay occurring after the product leaves the origin scale house.

Section 02
Final Invoicing — Certified Origin Scale Ticket

The final invoice for each transaction is based on the certified Origin Scale Ticket issued by the licensed weighmaster at the origin facility at the time of loading. The scale ticket weight is final and binding on both parties. No adjustments will be made for weight variations measured at the destination.

Payment is due upon receipt of the certified scale ticket. Standard payment method is bank wire transfer. Net terms are available only to pre-approved accounts confirmed in writing prior to the first shipment.

Section 03
Product Specifications & Grade Disputes

All products are sold to the grade specifications stated in the confirmed Purchase Order. A Certificate of Analysis (COA) from a certified laboratory will accompany each shipment.

Grade disputes must be raised within 48 hours of loading, supported by an inspection from an independent, USDA-licensed grain inspector. Claims raised after 48 hours will not be considered.

Section 04
Buyer's Transport Responsibility

The Buyer is solely responsible for arranging, scheduling, and paying for transport from the FOB origin point to the Buyer's facility. This includes carrier selection, cargo insurance, and coordination of pickup appointments with the origin facility.

Stratos Dynamics does not arrange or guarantee freight on behalf of any Buyer.

Section 05
Force Majeure

Neither party shall be held liable for failure or delay in performance caused by events beyond their reasonable control, including but not limited to: acts of God, severe weather, fire, flood, government action, labor strikes, transportation embargoes, crop failures, or other circumstances that make performance commercially impracticable.

The affected party must provide written notice within five (5) business days of the triggering event. If a force majeure event continues for more than 30 calendar days, either party may terminate the affected Purchase Order without penalty.

Section 06
Limitation of Liability

Stratos Dynamics LLC is a commodity broker. Our maximum liability in connection with any transaction is limited to the brokerage commission earned on that specific transaction. We are not liable for market price movements, product defects, transport failures, or consequential damages of any kind.

Section 07
Governing Law & Disputes

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-law provisions. The parties agree to attempt resolution in good faith before initiating formal proceedings.

Exclusive jurisdiction and venue for any legal action arising from these Terms is Fulton County, Georgia.
